a large amount of filtering on certain rules and would not like to have to
start all over again. Would we just be able to export our filtering rules
and export then back in?

Yes, you can either upgrade your existing server to 2005 or create a new
server and import your old MP's.
We have changed the new MP's pretty significantly so you might want to throw
them into a test environment and look at them compared to what you've got.
We've had customers in your situation that just decided to ditch the old
tuned MP for the new one.
If you've tuned the old MOM MP, it won't work against the new agents (the
service name has changed). We have a transition MP to use if you want to
monitor new agents with the old server while you upgrade (works in a
multihoming situation where you can upgrade one config group and the agents,
but not another config group that the agents are also reporting to).
